WHEREAS, the Idaho Transportation Department, Division of
Highways, hereafter called the State, has submitted an Agreement
stating obligations of the State and the Cities of Chubbuck and
Pocatello, Idaho for the construction of improvements to U.S. 91,
Quinn Road, and Pole Line Road intersections, including draining
grading, base and surfacing, ~sidewalk, curb and gutter,
illumination relocation, traffic signal, and appurtenances, known
as State Highway Project No. ST-7231(600), Green Triangle and U.S.
91, in Bannock County, Key No. 4756, and
WHEREAS, the State is responsible for obtaining compliance
with laws, standards and procedural policies in the development,
construction and maintenance of improvements made to the State
Highway System and
WHEREAS, certain functions to be performed by the State
involve the expenditure of funds as set forth in the Agreement;
and
WHEREAS, the State can only pay for work associated with the
State Highway System; and
WHEREAS, the City is fully responsible for its share of
project costs; and
WHEREAS, it is intended that the project shall be developed
and constructed with cooperative funding by the State and the
Cities of Chubbuck and Pocatello;
NOW, THEREFORE, BE IT RESOLVED:
1. That the Agreement for State Highway Project ST-
7231(601) Green Triangle and U.S. 91 is hereby
approved.
2. That the Mayor and the City Clerk are hereby
authorized to execute the Agreement on behalf of
the City of Chubbuck.
3. That duly certified copies of the Resolution shall
be furnished the Idaho Transportation Department,
Division of Highways.

directed to execute the Agreement on behalf of the City of
Pocatello.
3. That a certified copy of this Resolution shall be
furnished to the Idaho Transportation Department, Division of
Highways.

THIS AGREEMENT is made and entered into this )~ ~ day of
J~, 1991, by and between the IDAHO TRANSPORTATION
DEPARTMENT, hereafter called the STATE, and the CITY OF
POCATELL0 hereafter called POCATELLO and THE CITY OF CHUBBUCK,
hereafter called CHUBBUCK.
PURPOSE
The Parties mutually agree that it is in the public interest
to reconstruct a portion of U.S. Highway 91 along with certain
local streets with in the POCATELLO and CHUBBUCK
corporate limits, including the intersections of U.S. 91, Quinn
Road, and Pole Line Road, which improvements are to be made in
accordance with the vicinity map for State Project ST-7231(601)
marked Exhibit "A", attached to and made a part of this Agreement.
POCATELLO and CHUBBUCK, by authority of Title 50, Idaho Code,
may adopt and enforce traffic control ordinances within their
respective corporate limits in accordance with the Manual on
Uniform Traffic Control Devices for Streets and Highways, as
adopted by the STATE. Warrants and vehicular safety
considerations exist to justify the traffic signal at the
intersection of US Highway 91 and Pole Line Road.
This Agreement is for the purpose of establishing cooperative
funding and work to accomplish improvements on and adjacent to the
project limits by the parties.
Authority for this Agreement is established by Section 40-317
of the Idaho Code.
The Parties agree as follows:
SECTION I. Definition of Project Limits:
1. Where used in this Agreement, the term "Project Limits"
shall mean the boundaries of that part of the state highway and
local streets within POCATELL0 and CHUBBUCK, to be improved in
accordance with the vicinity map, which boundaries are the right-
of-way lines inclusive of easements.
SECTION II. That the STATE will:
1. Program the construction of the project and execute all
necessary agreements.
2. Advertise for the construction of the project, open bids,
prepare a contract estimate of cost based on the successful low
bid and notify POCATELLO and CHUBBUCK thereof.
3. Award a contract for construction of the project based on
the successful low bid, if it is not over ten (10) percent above
the estimate for cost of construction.
4. Obtain the concurrence of POCATELLO and C~UBBUCK before
awarding the contract, if the bid on their respective
participating contract items exceeds the preliminary estimate by
ten (10) percent.
5. Provide to POCATELL0 and CHUBBUCK a copy of: Contract
Proposal form, Notice to Contractors and approved construction
plans.
6. Assume its share, not to exceed $481,000, of all
construction and engineering costs for the project, including
grading, drainage, base, surfacing, curb and gutter, sidewalk,
retaining wall, utility adjustments, illumination, signing
pavement marking, traffic signal, other traffic control and
miscellaneous items necessary to complete the work, excepting
items stated hereafter as obligations of either POCATELLO or
C~UBBUCK.
7. Designate a resident engineer and other personnel, as the
STATE deems necessary, to supervise and inspect construction of
the project in accordance with the plans, specifications and
estimates in the manner required by applicable state and federal
regulations. This engineer, or his authorized representatives,
will prepare all monthly and final contract estimates and change
orders.
8. In cooperation with P0CATELL0 and CHUBBUCK establish and
cause to be maintained all detours deemed necessary to best serve
the public interests and to expedite the work.
9. Cause to be replaced to original, equal or better condi-
tion any existing sidewalks, curb and gutter, pavement, regulatory
signs, sewer facilities, fences and other similar items, except as
hereafter stated as obligations of either P0CATELLO or CHUBBUCK
and excluding shrubs and other plantings within the right-of-way,
removed or damaged by construction operations.
10. Furnish and install all official guide signs at junctions
of the urban extensions to the state highway system and all con-
firming and reassurance route markers and guide arrows along the
urban extensions of the state highway system necessary to properly
identify the STATE'S highways and keep the motorist sure of the
routes.

11. Permit POCATELLO and CHUBBUCK to retain, maintain,
connect to and improve all existing POCATELL0 and CHUBBUCK-owned
water, storm sewer, and sanitary sewers now in place on the state
highway right-of-way.
12. Maintain complete accounts of all project funds received
and disbursed, which accounting will determine the final project
costs.
13. Upon completion of the project, after all costs have been
accumulated, provide a statement to POCATELLO and CHUBBUCK
summarizing their respective estimated and actual costs,
indicating an adjustment for or against POCATELLO and CHUBBUCK.
Any excess funds transmitted by P0CATELL0 and CHUBBUCK and not
required for the project will be returned.
14. Retain ownership of the traffic signal equipment to be
installed and assume all necessary maintenance responsibilities
and costs thereof, except as provided in Sections IV and V, that
will be required to keep the traffic signal, as installed, in
continuous operation in conformance with the requirements of the
Manual on Uniform Traffic Control Devices for Streets and
Highways, as adopted by the STATE. However, the STATE'S
maintenance responsibility under this Agreement shall cease if
CHUBBUCK faiis to follow the emergency and notification procedures
specified in Exhibit "C", attached to and made a part of this
Agreement.
15. Train representatives designated by C~UBBUCK in
emergency procedures related to signal shutdown or partial
operation due to power failure, accidents, or equipment
malfunction (including the replacement of lamps).
16. Upon completion of construction and annually thereafter,
perform a complete check of the traffic signal equipment and oper-
ation; replace all signal lamps on a scheduled basis; furnish
CHUBBUCK with Signal lamps for emergency replacement; and respond
promptly to notification from the CHUBBUCK that a traffic signal
related emergency exists. Response will normally be by the next
working day.
SECTION III. That POCATELLO will:
1. Hereby approve the plans.
2. Authorize the STATE to administer the project and make
any necessary changes and decisions within the general scope of
the plans and specifications within POCATELL0's portion of the
project. Prior approval of P0CATELLO will be obtained if it is
necessary, during the life of the construction contract, to
deviate from the plans and specifications to such a degree that
POCATELLO'S share of the costs will be increased or the nature of
the completed work is significantly changed.

3. Immediately following execution of this Agreement, pay to
the STATE the sum of sixty thousand and no/100th
dollars ($60,000.00), which is POCATELLO'S estimated share of cost
for Project ST 7231(601), as itemized on Exhibit "B"
4. Upon approval of the lowest qualified bid received, if
POCATELLO'S share exceeds the amount set forth in Section IV,
Paragraph 3, transmit to the STATE, POCATELLO'S share of such
excess cost.
5. Upon receipt of the statement referred to in Section II,
Paragraph 13, indicating an adjustment in cost against POCATELLO,
promptly remit to the STATE a check or warrant in that amount.
Pocatello and Chubbuck are to share equally in any additions of
local shares, above the State's share.
6. Cooperate with the STATE in the selection and designation
of suitable detour routing during project construction.
7. By appropriate ordinance and police action, cooperate
with and assist the STATE in prohibiting and removing encroach-
ments on any part of the state highway right-of-way within the
project limits, including but not limited to signs, structures,
machinery, materials, equipment, junk, and including encroachments
for the purpose of advertising or for displaying, selling or
dispensing any merchandise or goods.
8. Acquire at POCATELLO's expense, right of way
on the inside of the curve for sidewalk, curb and gutter,
necessary roadside features, and radius to Lou Avenue.
9. Install at' POCATELLO's expense landscaping behind the
retaining wall on Alpine Animal Clinic property, including moving
sign, sod, shrubs, moving sprinklers and valve box.
10. Design, construct and maintain at POCATELL0's expense,
in accordance with Health Department, Division of Environmental
Quality, requirements and concurrent with the storm drain
crossing, storm sewer drainfield or dry well.
11. Adjust at POCATELLO's expense the traffic signal at Pole
Line Road and Quinn Road for optimum coordination with the
Yellowstone signals.
12. Overlay at POCATELL0's expense Quinn Road between Pole
Line Road and Yellowstone Avenue and construct a cross drain on
Quinn Road near Pole Line Road prior to or concurrent with
contract work under this agreement on Yellowstone Avenue.
13. Obtain concurrence of the STATE, before using the
traffic signal poles or mastarms for any purpose other than to
support traffic control devices or luminaires.

14. Maintain, erect or install within the project limits
only those traffic control devices, including signs, that are in
conformance with the Manual of Uniform Traffic Control Devices for
Streets and Hiqhways, as adopted by the STATE.
15. Upon completion of the project, accept from the STATE,
ownership of seven elevenths (64 percent) of the highway and
street lighting equipment to be installed and assume all opera-
tion, and the costs thereof, required to maintain the equipment in
continuous service during the hours of darkness and not remove,
alter or abandon the lighting equipment without the prior
concurrence of the STATE. Seven of eleven luminaires install on
the project will be within Pocatello City Limits. In the event
that the "Average Maintained Foot-Candles" of the lighting system
drops below seventy (70) percent of the original installed values,
POCATELLO shall cause the light intensity to be restored to
approximately the original values. Any combination of relamping
and/or cleaning of fixtures may be used to achieve the necessary
desired intensity.
16. Comply with all pertinent sections of the STATE'S Stan-
dard Specifications for Hiqhway Construction in accomplishing all
future trench backfill and pavement repairs on the state highways
within the project limits.
17. Obtain concurrence of the STATE before installing or
constructing any new, or relocating any existing sidewalk or any
existing city-owned water, storm sewer, sanitary sewer or other
facilities on the state highways within the project limits.
18. Obtain concurrence from the STATE before vacating or
closing any right-of-way connecting the state highways within the
project limits.
19. Obtain concurrence from the STATE before accepting any
new street or alley right-of-way connecting the state highways
within the project limits.
20. Indemnify, save harmless and defend regardless of
outcome the STATE from expenses of and against suits, actions,
claims, or losses of every kind, nature and description, including
costs, expenses and attorney fees that may be incurred by reason
of any act or omission, neglect or misconduct of POCATELL0 in the
construction and maintenance of the work.
SECTION IV. That CHUBBUCK will:
1. Hereby approve the plans.
2. Authorize the STATE to administer the project and make
any necessary changes and decisions within the general scope of
the plans and specifications within CHUBBUCK's portion of the
project. Prior approval of CHUBBUCK will be obtained if it is
necessarY, during the life of the construction contract, to

deviate from the plans and specifications to such a degree that
CHUBBUCK'S share of the costs will be increased or the nature of
the completed work is significantly changed.
3. Immediately following execution of this Agreement, pay to
the STATE the sum of One Hundred Thousand Two Hundred Seventy
One and Sixty Three Hundredths Dollars ($100,271.63), which is
C~UBBUCK's estimated share of cost for Project ST 7231(601), as
itemized on Exhibit "B".
4. Upon aDproval of the lowest qualified bid received, if
CHUBBUCK's share exceeds the amount set forth in Section IV,
Paragraph 3, transmit to the STATE, CHUBBUCK's share of such
excess cost.
5. Upon receipt of the statement referred to in Section II,
Paragraph 13, indicating an adjustment in cost against CHUBBUCK,
promptly remit to the STATE a check or warrant in that amount.

ments on any part of the state highway right-of-way within the
project limits, including but not limited to signs, structures,
machinery, materials, equipment, junk, and including encroachments
for the purpose of advertising or for displaying, selling or
dispensing any merchandise or goods.
8. Upon request to energize, assume all energy costs
required to .operate the traffic signal and daily monitor the
operations of the traffic signal, replacing signal lamps as
necessary with those furnished by the STATE, and perform emergency
measures as necessary in accordance with Exhibit "C", including
the prompt notification to the STATE of any equipment malfunction
or required maintenance. Four of eleven luminaires on the
project (36 percent) will be within CHUBBUCK City Limits and shall
be CHUBBUCK's for ownership and responsibility in accordance with
provisions of item 15, Section III.
9. Obtain concurrence of the STATE, before using the traffic
signal poles or mastarms for any purpose other than to support
traffic control devices or luminaires.
10. Maintain, erect or install within the project limits

conformance with the Manual of Uniform Traffic Control Devices for
Streets and Highways, as adopted by the STATE.

construction and maintenance of the work.
SECTION V. Both the STATE and CHUBBUCK agree that:
1. The traffic signal installation will not be altered or
abandoned without the prior concurrence of both parties.
2. Should any of the traffic signal installation be damaged
or destroyed through the wrongful or negligent act of any third
party, CHUBBUCK will make every effort to determine the identity
and whereabouts of the responsible party, and the STATE will
attempt collection of the cost of repair of replacement. The
STATE and CHUBBUCK will share the costs of repair or replacement
in accordance with the intersection legs under jurisdiction of
each agency: two thirds for the STATE and one third for CHUBBUCK.
3. This Agreement shall become effective on the first date
mentioned above and shall remain in full force and effective until
amended or replaced upon the mutual consent of CHUBBUCK and STATE.
SECTION VI.

EXECUTION
This Agreement is executed for, the STATE by its State
Highway Administrator; executed for POCATELLO by the Mayor,
attested to by the City Clerk, with the imprinted corporate seal
of the CITY OF POCATELLO; and executed for CHUBBUCK by the Mayor,
attested to by the City Clerk, with the corporate seal of the CITY
OF CHUBBUCK.

EXHIBIT "C"
COOPERATIVE AGREEMENT
WITH
CITY OF CHUBBUCK
EMERGENCY TRAFFIC SIGNAL PROCEDURES
I. For the loss of all signal indications:
A. Check for possible loss of power.
B. If there is no power outage in the area, switch
signal to the flashing mode by manipulating switch
inside police panel.
C. If signal will not flash, install stop signs on
cross streets.
D. Notify the STATE.
II. For the partially operating signal:
A. With one or more signal lamps not working, replace
signal lamps.
B. That has other malfunctions, switch to flashing mode
by manipulating switch inside police panel.
C. Notify the STATE.
III. For damage from an accident:
A. With minor damage to controller, but no apparent
damage to wiring, switch to flashing mode by
manipulating switch inside police panel.
B. With damage to wiring, disconnect power and install
stop signs on cross streets.
C. Notify the STATE.
D. Obtain accident information and forward a report to
the STATE within ten days of the accident.
IV. When emergency maintenance is required, notify the Idaho
Transportation Department, District Five Engineer in
Pocatello, telephone number 232-4270.
