HomeMy WebLinkAbout2024-02 ITD Cooperative AgreementRESOLUTION Zo 2 `i - O Z WHEREAS, the Idaho Transportation Department, hereafter called the State, has submitted an Agreement stating obligations of the State and the CITY OF CHUBBUCK, hereafter called the City, for construction of City water line and valves; and WHEREAS, the City is responsible for all costs of construction and maintenance of the waterline and valves. NOW, THEREFORE, BE IT RESOLVED: That the Agreement for Federal Aid Highway Projects A023(604) is hereby approved. 2. That the Mayor and the City Clerk are hereby authorized to execute the Agreement on behalf of the City. 3. That duly certified copies of the Resolution shall be furnished to the Idaho Transportation Department. A023(604) D5 CONCRETE SLAB REPLACEMENT BANNOCK COUNTY KEY NO. 23604 PARTIES This Agreement is made and entered into this 3 r� day of j4 ?(', 1 , , by and between the IDAHO TRANSPORTATION DEPARTMENT, hereafter called the State, and the CITY OF CHUBBUCK, hereafter called the City. PURPOSE The State has programmed the construction of "D5 Concrete Slab Replacement." The work consists of rehabilitating the pavement. During construction of the project, the State's contractor will install City a water line and replace water valves on the project. This Agreement will set out the terms for funding, construction, and maintenance of those Iines. Authority for this Agreement is established by Section 40-317, Idaho Code. The Parties agree as follows: SECTION I. That the State will: Include plans for replacement of the City's water line and water valves in the State's contract for this project. 2. Develop a cost estimate for the work associated to install the City's waterline and water valves. The cost estimate amount and written payment request will be sent to the City. 3. Upon completion of the project and after all costs have been accumulated, provide a statement to the City summarizing the actual costs for the City waterline replacement indicating an adjustment for or against the City. Any excess funds paid by the City pursuant to this Agreement will be returned to the City. SECTION II. That the City will: I. Provide the State with all the necessary plans and specifications for installation of the City waterline. 2. Complete all the required system inspections and tests for acceptance. 3. No more than thirty (30) days prior to start of construction of the project, and upon written request from the State, pay to the State the amount of $396,325.00, estimated to be the cost for installation of the City's sewer and water lines on the project. 4. Upon receipt of the statement referred to in Section 1, Paragraph 3 above, pay to the State any additional funds necessary for the work. 5. Accept responsibility for maintenance of the City waterline installed pursuant to this Agreement. SECTION III. General: 1. State Sufficient Appropriation. It is understood and agreed that the State is a governmental agency, and this Agreement shall in no way be construed so as to bind or obligate the State beyond the term of any particular appropriation of finds by the Federal Government or the State Legislature as may exist from time to time. The State reserves the right to terminate this Agreement if, in its sole judgment, the Federal Government or the legislature of the State of Idaho fails, neglects or refuses to appropriate sufficient finds as may be required for the project. Any such termination shall take effect immediately upon notice and be otherwise effective as provided in this Agreement. 2. This Agreement shall become effective on the first date mentioned above and shall remain in full force and effect until amended or replaced upon the mutual consent of the State and the City. EXECUTION This Agreement is executed for the State by its District Engineer, and executed for the City by the Mayor, attested to by the City Clerk, with the corporate seal of the City of Chubbuck.
